This Agreement ("Agreement") is entered into by and between [Client Name], herein referred to as "Client," and NorthFalk, located at , herein referred to as "Agency," effective as of Date Of Form Submission.

Services:
1.1 Agency agrees to provide Google Local Service Ads (LSA) advertising services to Client, including but not limited to:
a) Website Refresh: Updating and optimizing Client's website to meet Google's LSA requirements and improve overall performance.
b) Local SEO Warm Up: Implementing strategies to enhance Client's local search engine optimization, thereby increasing visibility and engagement.
c) Managing Verification Process: Assisting Client in becoming a preferred partner with Google by navigating and managing the verification process.
1.2 Client agrees to provide all necessary information, access, and cooperation to Agency to facilitate the provision of services outlined in this Agreement.

Fees:
2.1 Client agrees to pay Agency a one-time fee of [Amount] for the services outlined in section 1 above. This fee is due upon signing of this Agreement.
2.2 Client acknowledges and agrees that the one-time fee is non-refundable, irrespective of the outcome of the services provided by Agency.
2.3 All fees payable under this Agreement are exclusive of any applicable taxes, which shall be paid by Client.

Term and Termination:
3.1 This Agreement shall commence on the Effective Date and shall continue until the completion of the services outlined in section 1.
3.2 Either party may terminate this Agreement upon written notice if the other party breaches any material provision of this Agreement and fails to cure such breach within thirty (30) days of receiving written notice thereof.

Confidentiality:
4.1 Both parties agree to maintain the confidentiality of all information exchanged during the term of this Agreement, including but not limited to proprietary information, business strategies, and client data.
4.2 This confidentiality obligation shall survive the termination of this Agreement.

Governing Law:
5.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio.
5.2 Any dispute arising under or in connection with this Agreement shall be resolved exclusively by the state and federal courts located in Ohio.

Entire Agreement:
6.1 This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral, relating to such subject matter.
